В июне в Вермонте стали регистрировать корпорации "без местонахождения": http://gigaom.com/2008/06/17/vermont-oks-the-creation-of-virtual-corporations/. Раньше американские законы требовали для LLC физических штаб-квартир, личных встреч правления и прочей атрибутики прошлого века. Для компании, которая состоит из трех человек в разных частях света, встречающихся где-нибудь в Second Life, это совершенно не нужно. Раньше "физическую символику компании" можно было купить за сходную цену -- чтобы какой-нибудь человек выгребал из почтового ящика приходящую почту и переправлял куда заказано. Теперь все сильно упрощается.

Я поглядел (http://www.leg.state.vt.us/database/status/summary.cfm?Bill=H%2E0888&Session=2008), там поправки типа "The board of directors may permit any or all directors to participate in a regular or special meeting by, or conduct the meeting through the use of, any means of communication, including an electronic, telecommunications, and video- or audio-conferencing conference telephone call, by which all directors participating may simultaneously ~~hear~~ communicate with each other during the meeting. A director participating in a meeting by this means is deemed to be present in person at the meeting или Annual shareholders’ meetings shall be held in this state, unless permitted in the bylaws of the corporation to be held outside this state. Annual meetings shall be held at the place stated in or fixed in accordance with the bylaws. If no place is stated in or fixed in accordance with the bylaws, annual meetings shall be held at the corporation’s principal office. An annual meeting may be conducted by means of any electronic or telecommunications mechanism, including video-conference telecommunication. The failure to hold an annual meeting at the time stated or fixed in accordance with a corporation’s bylaws does not affect the validity of any corporate action.

Интересно, что в российском законодательстве по поводу инкорпорации без местонахождения. Как я понимаю, все ровно наоборот, тщательно выкашивается в связи с борьбой с фирмами-однодневками...
